Standard warranty terms

1. DISCLAIMER OF WARRANTIES
1.1 PowerMe agrees to manufacture Product(s) in accordance with PowerMe’s Specifications. However, in the event any Products fail to conform to such Specifications, PowerMe's liability shall be solely as set forth in this Article 1, unless otherwise agreed in written by Parties.
1.2 Product Warranty – PowerMe warrants to Customer that the Product(s) purchased hereunder shall be free from material defects in materials and workmanship and shall conform in all material respect to the Specifications for a period of two (2) years ex works PowerMe factory from the date of Delivery thereof (“Warranty Period”), provided the Product(s) in question has been stored and used in accordance with ordinary industry practices and conditions and has not been misused, mishandled, abused, altered, modified, improperly maintained or improperly stored . If PowerMe receives notice of such defects or non-conforming Product(s) during the Warranty Period, PowerMe , upon inspection and verification of defect or non-conformity, at its option will either repair and/or replace the affected Product(s).
1.3 Warranty Limitations - The warranty shall not apply to defects or non-conformities resulting from:
1 Improper installation of Product.
2 Modification and/or misuse.
3 Operating outside the intended Specification.
4 Improper and/or inadequate maintenance and storage by Customer.
5 Attempt to repair Product by anyone other than a PowerMe authorized service technician.
2 Quality assurance : general requirements
2.1 Customer is free to choose the quality assurance system that best enables Customer to meet Customer’s requirements. However, Customer recognizes and accepts that PowerMe shall use standard ISO 9001, in whole or in part, to evaluate the suitability and efficiency of the Quality Assurance set up for this purpose. PowerMe has the right to have Products manufactured by qualified subcontractors.
2.2 Failure analysis is to be performed by PowerMe or its designee. An initial failure analysis with written feedback to Customer is to be performed within 2 weeks upon receiving a failed Product. Final failure analysis must be completed no later than thirty (30) days upon receiving the failed power supply unless written communication is presented to Customer defining the reason for the delay with a target date for completion.
3 Inspections and acceptance
3.1 Prior to Delivery by PowerMe, the Products shall be inspected by Customer or its qualified subcontractor in accordance with its standard inspection procedure to ensure that the products comply with the Order and the Specifications.
3.2 If Customer does not receive the advised quantity of Product, Customer must notify PowerMe within 7 days of its receipt of such Product.
3.3 Customer may within 2 (two) weeks after arrival of the Products at Customer premises, inspect such Products in accordance with mutually agreed written test procedures to ensure that they comply with the Order and the Specifications (in effect at the time of Delivery), and that they are in good working order. PowerMe is aware that Customer will not make a complete 100% electrical incoming inspection of the Products and therefore a reclamation regarding malfunctions in the Products can be made after these 2 (two) weeks in accordance with the warranty procedures specified in Article 1.
3.4 Customer shall give PowerMe a written notice of found defects.
3.5 Customer is obligated to return properly rejected Products (i.e., Products that do not conform to the Specifications, each a “Defective Unit”) to PowerMe’s designated offices as a precondition of PowerMe’s obligation to ship a replacement Product. All Defective Units will be repaired or replaced at PowerMe’s sole discretion and its own expense pursuant to warranty conditions specified in Article 1. Transportation and insurance costs for Defective Units returned to PowerMe shall be at Customer’s charge and transportation and insurance costs for replaced or repaired Products shall be borne by PowerMe. If PowerMe determines that the product is not defective, PowerMe shall return the Product to Customer at Customer’s cost and expense.
